Emouna & Mikhail, P.C. represents landlords and tenants in all aspects of commercial leasing, including the leasing of office buildings, retail space, shopping centers, warehouse, industrial, and manufacturing buildings, and mixed-use developments. We also have extensive experience representing clients in ground-lease transactions, both for new developments and existing buildings, in sale-leasebacks, and in creative tenant-equity leases (both on an individual and a building-wide basis). Our leasing work also includes work letters, takeover agreements, and reciprocal lease agreements.
At Emouna & Mikhail, P.C. we have served as nation-wide leasing counsel for several of our corporate clients, and we have been responsible for negotiating headquarters leases for a number of other clients. As a result of the extensive work that we have done for both landlords and tenants, we understand each party’s perspective on negotiations and leasing issues in the current market, and we are thoroughly knowledgeable about all of the negotiating strategies and issues (and, very importantly, the solutions to those issues) that arise in leasing transactions.
In real estate financing, we advise U.S.-based and non-U.S.-based institutions on traditional mortgage lending activities, as well as a variety of creative financing devices. Additionally, we have extensive experience representing global investors and lending institutions making investments and loans in the United States.
Foreclosures, Workouts, and Receiverships

Our collective expertise in workouts, restructuring, and bankruptcy law allows us to handle all facets of restructuring and insolvency matters, ranging from forbearance agreements, loan modifications, judicial and non-judicial enforcement proceedings, deed-in-lieu agreements and receiverships in the non-bankruptcy context, to cash collateral disputes, debtor in possession financings, and relief from stay and Chapter 11 plan confirmation proceedings.

Real Estate Development and Construction
Emouna & Mikhail, P.C. regularly represents real estate developers and contractors. We have been responsible for projects ranging from office buildings, shopping centers, and industrial parks to residential subdivisions, and condominium projects. We aid in covering all phases of these projects, including acquisition, annexation, zoning, environmental review, and all aspects of subdivisions, entitlements, permitting, and environmental analysis and review.
Our development work has included land assemblages, subdivisions, and project financings, and our work in assembling development sites has included the creation and transfer of development rights. We also have considerable expertise in the field of multi-use condominium and cooperative offerings and developments, including both new construction and conversions. In representing developers and investors, we have developed extensive expertise in the preparation and negotiation of joint venture and partnership agreements, construction contracts, construction and development management agreements, architects agreements, leasing and brokerage agreements and hotel management agreements. We have also had extensive experience in representing clients before public agencies and boards and in the negotiation of development agreements, public financing arrangements, and other complex financings from a developer’s perspective.
